1. Definitions
- “Agreement” means these Terms and Conditions, the Privacy Policy, the Consent Framework, and the applicable Service Order.
- “Client” or “You” means the individual professional, business entity, or authorised representative who subscribes to the Services.
- “CPAI” means ConsciousPresenceAI Private Limited.
- “Services” means the AI-powered personal branding, content production, community management, analytics, and related services.
- “Content” means all text, images, videos, audio, graphics, and other creative materials produced by CPAI on behalf of the Client.
- “AI Avatar” means the digital video representation of the Client generated using HeyGen or equivalent technology.
- “Voice Clone” means the synthetic voice model created from the Client's voice sample using Resemble AI or equivalent technology.
2. Acceptance of Terms
By subscribing to the Services, making payment, or using any part of the CPAI platform, You agree to be bound by this Agreement. CPAI reserves the right to modify these Terms with 30 days written notice.
3. Service Description
3.1 Service Plans

Annual plans receive a discount: 10% for Professional, 15% for Premium.
3.2 What CPAI Does NOT Provide
- Guarantee of specific follower counts, engagement rates, or revenue outcomes
- Medical, legal, financial, or other professional advice
- Control over Platform algorithms, policies, or enforcement actions
4. Client Obligations
- Complete the brand intake questionnaire within 2 days
- Provide voice sample and avatar video within 2 days
- Sign all required consent sections
- Review and respond to content approvals within 7 days
- Keep social media platform connections active
- Ensure patient/client materials provided have appropriate consent
- Not use Services for illegal, defamatory, or harmful purposes
- Not share CPAI's proprietary systems with third parties
5. Fees and Payment
GST at 18% (SAC Code 998314) is charged in addition to subscription fees. Payments accepted via Razorpay (India) and Stripe (international).
Late Payment Sequence
- Day 0: Immediate notification with retry link
- Day 3: Second reminder
- Day 7: Final warning
- Day 14: Services paused
- Day 30: Subscription cancelled
Refund Policy
Monthly plans: no refund for current period. Annual plans: pro-rated refund for unused complete months. Refunds processed within 14 business days.
6. Intellectual Property
All Content produced by CPAI for the Client is the intellectual property of the Client upon creation. CPAI assigns all copyright and moral rights to the Client. During the active subscription, the Client grants CPAI a limited, non-exclusive, revocable license to publish Content to connected Platforms. This license terminates immediately upon cancellation.
All CPAI systems, software, algorithms, workflows, and methodologies remain CPAI's exclusive intellectual property.
7. AI Avatar and Voice Clone
- Your Avatar and Voice Clone are your personal property
- NEVER used for any other client or purpose
- Deleted within 30 days of termination
- Content may be labelled as AI-generated where required by platform policies
8. AI Reception
Optional feature answering inbound calls using your Voice Clone. Will NOT diagnose, provide legal/financial advice, or handle emergencies. All calls recorded with caller notification. Uptime target: 99.5% monthly.
9. Data Protection and Privacy
Data handling governed by our Privacy Policy and Consent Framework. All data stored on Supabase (AWS Mumbai). OAuth tokens encrypted with AES-256-GCM. In the event of a data breach, affected Clients will be notified within 72 hours.
10. Confidentiality
CPAI will not disclose your business information, brand strategy, content performance data, or lead information to any third party. Confidentiality obligations survive termination for 3 years.

If CPAI fails to meet the 72-hour content turnaround for 3+ pieces in a month, the Client receives a 10% credit on the following month's invoice (capped at 30% per quarter).
12. Term, Suspension, and Termination
By Client: Cancel anytime with 30 days written notice. Annual plans receive pro-rated refund.
By CPAI: For non-payment (after 30-day dunning), material breach (14-day cure period), prohibited uses, or false credentials.
Effects of Termination
- Content exported as ZIP within 7 days
- Voice Clone and Avatar deleted within 30 days
- All OAuth tokens revoked
- Invoice records retained for 7 years (GST compliance)
- Consent records retained for 8 years (legal compliance)
13. Limitation of Liability
CPAI's total aggregate liability shall not exceed the total fees paid by the Client in the 3 months immediately preceding the event giving rise to the claim. CPAI is not liable for indirect damages, loss of profits, or damages arising from Platform algorithm changes or third-party service outages.
14. Indemnification
CPAI indemnifies the Client from third-party claims arising from CPAI's IP infringement, gross negligence in data handling, or publishing unapproved content. The Client indemnifies CPAI from claims arising from client-provided materials or approved content that violates professional regulations.
15. Force Majeure
Neither party is liable for failure due to circumstances beyond reasonable control. If the event continues for 30+ days, either party may terminate without liability.
16. Dispute Resolution
- Informal Resolution: Direct communication, response within 7 business days.
- Mediation: If informal resolution fails within 30 days.
- Arbitration: Binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Hyderabad.
Governing Law: Laws of India. Courts of Hyderabad, Telangana have exclusive jurisdiction.
17. General Provisions
- This Agreement constitutes the entire agreement between the parties
- If any provision is held invalid, remaining provisions continue in full force
- CPAI is an independent contractor, not an employee or agent
- Electronic acceptance has the same legal force as a physical signature (IT Act, 2000, Section 10A)
18. Professional Regulatory Acknowledgments
Medical Professionals: SENTINEL enforces NMC guidelines. No treatment outcome guarantees, no patient data without documented consent.
Legal Professionals: Bar Council advertising restrictions enforced. No outcome guarantees or direct solicitation.
Financial Professionals: SEBI/ICAI guidelines enforced. No investment advice or return guarantees.
19. White-Label and Reseller Terms
White-label and reseller arrangements require a separate written agreement. These Terms apply to direct clients only.
